Terms of Service

These Terms of Service (“Terms”) govern your access to and use of StudioWhirl (the “Service”), provided by StudioWhirl, Inc. (“StudioWhirl”, “we”, “us”, or “our”). By creating an account, listing classes, or booking through the Service, you agree to be bound by these Terms.

1. Using StudioWhirl

You must be at least 18 years old and able to form a binding contract to create a StudioWhirl account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

By creating an account, you agree to use the platform to schedule classes, manage bookings, and process payments in accordance with these Terms and all applicable laws.

2. Studio and instructor accounts

Studios and independent instructors are responsible for the accuracy of their class listings, pricing, schedules, and cancellation policies. StudioWhirl is a booking and payments platform; the underlying services (classes, memberships, training) are provided by the studio or instructor, not by StudioWhirl.

Studios are responsible for their own compliance with employment, health and safety, licensing, and consumer protection laws applicable to running their business.

3. Member accounts and bookings

Members use StudioWhirl to browse classes, purchase drop-ins, packs, or memberships, and manage their bookings. A booking is a contract between the member and the studio; StudioWhirl facilitates the transaction but is not a party to it.

Members are responsible for reviewing a studio's specific cancellation, late-cancel, and no-show policies before booking, as these are set independently by each studio.

4. Subscriptions and billing

Studios subscribe to StudioWhirl's Starter, Growth, or Studio+ plans, billed in advance on a recurring basis:

  • Subscriptions are billed monthly or annually, depending on the plan selected, as described on our Pricing page.
  • By subscribing, you authorize us to charge your chosen payment method automatically at the start of each billing period.
  • Subscriptions automatically renew until cancelled. You may cancel at any time from your account settings, and access continues until the end of the current billing period.
  • Subscription fees are non-refundable except as required by law or as set out in our Refund Policy.

5. Payments and payouts

Booking payments and studio/instructor payouts are processed through Stripe and Stripe Connect. By accepting payouts, studios and instructors agree to Stripe's Connected Account Agreement in addition to these Terms.

StudioWhirl's platform fee and applicable transaction rate are deducted automatically at checkout, as described on our Pricing page. StudioWhirl is not responsible for delays or errors caused by Stripe, a member's bank, or a studio's connected bank account.

6. Your data and content

Studios and instructors retain all rights to the data they upload to the Service, including class schedules, rosters, pricing, and member lists (“Customer Data”). You grant StudioWhirl a limited license to host, process, and display Customer Data solely to provide and improve the Service.

7. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable regulations.
  • Process fraudulent transactions, or list classes, memberships, or services you do not intend to provide.
  • Attempt to gain unauthorized access to the Service, or to other studios' or members' accounts or data.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law.

8. Intellectual property

The Service, including its software, design, branding, and documentation, is owned by StudioWhirl, Inc. and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand features.

9. Termination

You may close your account at any time from your account settings. We may suspend or terminate accounts that violate these Terms, fail to pay applicable fees, or where required to do so by law.

10. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. StudioWhirl does not guarantee that any studio or instructor will honor a booking, and is not responsible for the quality or safety of classes delivered by studios or instructors.

11. Limitation of liability

To the maximum extent permitted by law, StudioWhirl, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or in connection with your use of the Service.

12. Governing law

These Terms are governed by the laws applicable in the jurisdiction in which StudioWhirl, Inc. is registered, without regard to conflict of law principles, except where mandatory consumer protection laws in your own country or state provide otherwise.

13. Changes to these terms

We may modify these Terms from time to time. If we make material changes, we will notify active accounts by email and by posting the updated Terms on this page and updating the “Last updated” date above. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
